Terms of Service

By creating an account or using Toolhub ("Service"), you agree to these Terms. If you do not agree, do not use the Service. The Service is operated by David Schlüter, Berwickstraße 13, 76661 Philippsburg, Germany ("we", "us").

Toolhub is a web-based tool-stack and software cost management platform for freelancers and consultants. We reserve the right to modify or discontinue the Service at any time with reasonable notice.

Toolhub offers a free Starter plan and a paid Professional plan at €9/month (billed yearly). Due to the small-business exemption (Kleinunternehmerregelung pursuant to § 19 UStG), no VAT is charged.

Payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis. You can cancel at any time through the billing portal; your access continues until the end of the current billing period.

If you are not satisfied with the Professional plan, you may request a full refund within 30 days of your first payment. To request a refund, email us at d.schlueter1011@gmail.com with the subject line "Refund request". Refunds are not available for subsequent billing periods.

The Starter plan includes up to 25 tools, 3 customers, and 2 catalogs. The Professional plan is unlimited. We enforce these limits in the application and may suspend accounts that attempt to circumvent them.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Service
• Reverse-engineer or copy the Service
• Resell or sublicense access to the Service

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you upload or create in the Service. You may delete your account at any time via the Clerk account menu (User button → Manage account → Delete account). Deletion removes your Toolhub app data automatically.

If you enter personal data about your clients, you are the data controller for that data and must have a lawful basis to process it. You must not upload client data you are not entitled to process.

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or uninterrupted availability.

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability for intent, gross negligence, or injury to life, body, or health.

These Terms are governed by the laws of the Federal Republic of Germany. Disputes shall be subject to the jurisdiction of the courts competent for Philippsburg, Germany, unless mandatory consumer protection law provides otherwise.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be notified by email.
